MINT TAN LLC MUTUAL NON-DISCLOSURE AGREEMENT This Agreement is made and entered into as of the last date signed below (the “Effective Date”) by and between MINT TAN LLC (MINT), and the party named below ("CONSULTANT"). WHEREAS MINT and Consultant (each, a “Party” and together, the “Parties”) have an interest in participating in discussions to work on branding and products (the “Purpose”) wherein either Party might share information with the other that the disclosing Party considers to be proprietary and confidential to itself (“Confidential Information”); and WHEREAS the Parties agree that Confidential Information of a Party might include, but not be limited to that Party’s: (1) business plans, methods, and practices; (2) personnel, customers, and suppliers; (3) inventions, processes, methods, products, patent applications, and other proprietary rights; or (4) specifications, drawings, sketches, models, samples, tools, computer programs, technical information, data or other related information; NOW, THEREFORE, the Parties agree as follows: 1.) Either Party may disclose Confidential Information to the other Party in confidence provided that the disclosing Party identifies such information as proprietary and confidential either by marking it, in the case of written materials, or, in the case of information that is disclosed orally or written materials that are not marked, by notifying the other Party of the proprietary and confidential nature of the information, such notification to be done orally, by e-mail or written correspondence, or via other means of communication as might be appropriate. 2.) When informed of the proprietary and confidential nature of Confidential Information that has been disclosed by the other Party, the receiving Party (“Recipient”) shall, for a period of three (3) years from the date of disclosure, refrain from disclosing such Confidential Information to any contractor or other third party without prior, written approval from the disclosing Party and shall protect such Confidential Information from inadvertent disclosure to a third party using the same care and diligence that the Recipient uses to protect its own proprietary and confidential information, but in no case less than reasonable care. The Recipient shall ensure that each of its employees, officers, directors, or agents who has access to Confidential Information disclosed under this Agreement is informed of its proprietary and confidential nature and is required to abide by the terms of this Agreement. The Recipient shall promptly notify the disclosing Party of any disclosure of such Confidential Information in violation of this Agreement or of any subpoena or other legal process requiring production or disclosure of said Confidential Information. 3.) All Confidential Information disclosed under this Agreement shall be and remain the property of the disclosing Party and nothing contained in this Agreement shall be construed as granting or conferring any rights to such Confidential Information on the other Party. Each Party shall use Confidential Information only for the Purpose. The Recipient shall honor any request from the disclosing Party to promptly return or destroy all copies of Confidential Information disclosed under this Agreement and all notes related to such Confidential Information. The Parties agree that the disclosing Party will suffer irreparable injury if its Confidential Information is made public, released to a third party, or otherwise used or disclosed in breach of this Agreement and that the disclosing Party shall be entitled to obtain injunctive relief against a threatened breach or continuation of any such breach and, in the event of such breach, an award of actual and exemplary damages from any court of competent jurisdiction. 4.) The terms of this Agreement shall not be construed to limit either Party’s right to develop independently or acquire products or information without use of the other Party’s Confidential Information. The disclosing party acknowledges that the Recipient may currently or in the future be developing information internally, or receiving information from other parties, that is similar to the Confidential Information. Nothing in this Agreement will prohibit the Recipient from developing or having developed for it information, products, concepts, systems or techniques that are similar to or compete with the information, products, concepts, systems or techniques contemplated by or embodied in the Confidential Information provided that the Recipient does not violate any of its obligations under this Agreement in connection with such development. 5.) Notwithstanding the above, the Parties agree that information shall not be deemed Confidential Information and the Recipient shall have no obligation to hold in confidence such information, where such information: (a) Is already known to the Recipient, having been disclosed to the Recipient by a third party without such third party having an obligation of confidentiality to the disclosing Party; or (b) Is or becomes publicly known through no wrongful act of the Recipient, its employees, officers, directors, or agents; or (c) Is independently developed by the Recipient without reference to any Confidential Information disclosed hereunder; or (d) Is approved for release (and only to the extent so approved) by the disclosing Party; or (e) Is disclosed pursuant to the lawful requirement of a court or governmental agency or where required by operation of law (such as the California Public Records Act). 6.) Nothing in this Agreement shall be construed to constitute an agency, partnership, joint venture, or other similar relationship between the Parties. 7.) Neither Party will, without prior approval of the other Party, make any public announcement of or otherwise disclose the existence or the terms of this Agreement, unless such disclosure is required pursuant to the lawful requirement of a court or governmental agency or where required by operation of law (such as the California Public Records Act). 8.) This Agreement contains the entire agreement between the Parties and in no way creates an obligation for either Party to disclose information to the other Party or to enter into any other agreement. 9.) PREP & AFTER CARE A long-lasting tan begins with proper prep and maintenance. Spray tans typically last 5–7 days, but with our recommended care, they can last for over 2 weeks with a gradual fade over time. PREP GUIDE HYDRATE (3 days before): Hydration is key to a long-lasting tan! Drink plenty of water and hydrate your skin with a quality moisturizer several times per day leading up to your appointment. COMPLETE OTHER SERVICES (1-2 days before): Nails, lashes, waxing, sugaring, laser treatments, facials, and massages should be done 1-2 days before your appointment. This prevents any products from these services that might compromise your skin. EXFOLIATE (1 day before): Use an exfoliating mitt in the shower to gently remove dead skin from your entire body. Pay extra attention to dry areas like the ankles, feet, knees, elbows, and hands. Using a loofah does not count as exfoliating! Avoid oil-based body scrubs to prevent residue build up. SHAVE (12-24 hours before): Shave 12-24 hours before your appointment to give your skin enough time to calm and for your hair follicles to fully close. If you must shave the same day, do it at least 6 hours before your appointment, and follow with a gentle wash to remove any product residue. FINAL SHOWER (2 hours before): Use a gel-based body wash as your final step of your shower to remove any residue from conditioner, soap, or shaving. Check out our "AVOID" and "Spray Tan-Safe Brands" listed below. Your last shower should be no less than 2 hours before your appointment. Showering too close to your appointment can leave your skin damp or pores open, which may cause streaking or uneven development. If you have to shower less than 2 hours, stick to a quick lukewarm rinse with no soap, lotion, shaving, or exfoliating. ARRIVE WITH CLEAN SKIN: If possible, avoid lotions, deodorant, makeup, or perfume the day of your appointment to prevent uneven development. Let your technician know if you have any products on when you arrive so we can provide you a wet wipe. BRING LOOSE FITTING CLOTHES: Bring loose, dark, breathable pants, a long sleeve, and sandals to change into afterwards. If possible, leave your jewelry at home. If you have permanent jewelry, we can blend around it. SUNBURN NOTE: Sunburned skin is damaged skin, and it can take anywhere from a couple days to a month to fully heal. Please consider rescheduling your spray tan if you are experiencing any redness, peeling, inflammation, or wounds as this could result in further irritation, patchiness, or an uneven tan. AFTER CARE BEFORE THE FIRST RINSE: Avoid getting wet, including sweating and washing your hands. Avoid skin-to-skin contact (e.g. underarms, thighs, elbow crease, back of legs, neck) by continuing to wear a loose, dark, long sleeve shirt and pants until you have rinsed off. Avoid touching your tan to prevent "Cheeto fingers"! THE FIRST RINSE: Rinse at the recommended time to avoid under or overdevelopment. Use ONLY water and your hands (no soap) to remove all the cosmetic bronzer. Spray tans take about 24 hours to develop, hence you will continue to get slightly darker even after you rinsed off. MAINTENANCE TIPS: Check out our "AVOID" and "Spray Tan-Safe Products" listed below. Water is a natural exfoliant, so keep showers on the quicker and cooler side. Always hand lather your soap when showering (no loofahs or scrubs). Always pat dry with a towel (never rub). Drink plenty of water and moisturize twice daily with high quality products (see products to avoid below). Spray tans do not contain SPF, so always apply a lotion-based sunscreen (not aerosol). Sunscreen is available for purchase in our salons and on our website. Incorporating a tan extender or gradual tanning lotion, can extend the life of your tan. Tan extenders are available for purchase in our salons and on our website. AVOID (Before & After): Body Wash & Lotions that contain anything ending in "-monium chloride " - turns the bronzers an ashy grey/green tone. Sulfate-heavy body washes (like Dove, Olay, Dial, Irish Spring) – strip the tan quickly. Bar soaps – dry out skin and cause patchiness. Petroleum-based lotions (like mineral oil, baby oil, Vaseline) – break down the color. Remove deodorants before tanning – can cause green underarms. Aerosols & perfumes – dry out skin and cause patchiness. Exfoliating products (loofahs, scrubs, retinols, glycolic/salicylic acid, AHAs, acne treatments) – speed up fading. Chlorine & salt water – both are very harsh and can strip the tan. When cancelling less than 24 hours of your appointment, we are unlikely to fill that appointment time on such short notice. We understand things happen, but we provide you with our time in exchange for an income. Any cancellation less than 24 hours in advance of an appointment time will be noted in your profile. For Cancellation inside of the 24-hour window, you will be charged 80%-100% of the total service price. No shows and cancellation within 6 hours of your scheduled service will be charged 100% of the service price.
